Application Terms and Conditions

Introduction

These Terms of Use(“terms and conditions”) apply between you, the User of this Application (including any sub-domains, unless expressly excluded by their own terms and conditions (“Application/App”), and Casting Space.com (“Casting Space”), the owner and operator of this Application. All references to ‘Casting Space’ are deemed to be interchangeable with ‘Film Share Commute Ltd‘. Our registered office is: [64 Orbain Road, Fulham, SW6 7JY]. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions without modification is deemed to occur upon your first use of the Application. If you do not agree to be bound by these terms and conditions, you should stop using the Application immediately.

In these terms and conditions, User or Users means any third party that accesses the Application and is not either (i) employed by Casting Space and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Casting Space and accessing the Application in connection with the provision of such services.

You must be at least 18 years of age to use this Application. By using the Application and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Definitions

The following shall have the definition given to it here:

“App” means an application downloaded via an Appstore.

“Appstore” means a digital distribution platform for computer software, including but not limited to, Apple App Store, Google Play, Amazon Appstore, Windows Store, Chrome Web Store.

“Company” means Casting Space who provide the Platform and Services.

“Customer” means You being an individual downloading the app and using the services.

“Fee” where applicable the Fee/commission payable by the Customer/Host to the Company in consideration for using the app to promote their property to a potential “Guest” after the download of the App and use of the Services.

“Guest” means a User or Customer of the App who is searching and booking any accommodation provided through the app by a ”Host”.

“Host” means a User or Customer of the App who is providing accommodation to a “Guest” by listing their property on the app with the intention of providing an accommodation service through the app.

“Intellectual Property Rights or “IPR” means patents, rights to inventions, copyright, trademarks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

“Personal Data” means any information that directly, indirectly, or in connection with other information — including a personal identification number — allows for the identification or identifiability of a natural person.

“Platform” means the software platform via which the Customer accesses the Services provided by the Company.

“Services” means all those services sat on the Platform provided by the Company to the Customer.

“User Data” means any information communicated by the Customer to the Company via the Platform to include all materials uploaded, stored transmitted via the Platform.

Intellectual property and acceptable use

All Content included on the Application, unless uploaded by Users, is the property of Casting Space, our affiliates or other relevant third parties. In these terms and conditions, “Content” means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Application, including any such content uploaded by Users. By continuing to use the Application you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights around the world. All such rights are reserved.

Nothing on this Application shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner’s prior written permission.

Any unauthorised reproduction or use of the Application or any Content contained on it may be subject to prosecution, particularly for infringement of copyright.

You may, for your own personal, non-commercial use only, do the following retrieve, display and view the Content on a computer screen.

You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content without the written permission of Casting Space.

Prohibited use

You may not use the Application for any of the following purposes:

in any way which causes, or may cause, damage to the Application or interferes with any other person’s use or enjoyment of the Application;

any unauthorised use or copying of the name ‘Casting Space’, trading style, get-up, confidential information or data;

unauthorised entry to any non-public part of the Application, including its underlying codes, or into any of our private computer system;

causing offence or detriment to any other person who uses the Application or any services offered;

unauthorised copying, downloading or framing of any part of the Application;

any action which is intended or has the effect of deceiving or misleading us or third parties;

causing Casting Space, you or any other user of the Application, to be in breach of applicable law or regulation;

in any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, governmental order; or

making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner.

Links to other Applications

This Application may contain links to other sites. Unless expressly stated, these sites are not under the control of Casting Space or that of our affiliates.

We assume no responsibility for the content of any third party Applications and disclaim liability for any and all forms of loss or damage arising out of the use of them.

The inclusion of a link to another site on this Application does not imply any endorsement of the sites themselves or of those in control of them.

Use of the Application is also governed by our Privacy Policy which are incorporated into these terms and conditions by this reference.

The user ID and password for your Account must be kept private and you are responsible for ensuring that this is not shared with any other person.

We are entitled (but not obliged) to terminate your Account at any time if we become aware that you have disclosed your user ID and/or password to any other person. If for any reason, you have reason to believe that another person may be using your identification information or Account, you must inform us immediately. To protect your privacy, we will suspend access or change access to your Account as soon as possible following our receipt of a notification from you that your password has been lost, stolen or otherwise compromised.

Availability of the Application and disclaimers

Any online facilities, tools, services or information that Casting Space makes available through the Application (the “Service”) is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. Casting Space is under no obligation to update information on the Application.

Whilst Casting Space uses reasonable endeavours to ensure that the Application is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

Users will not knowingly introduce viruses or other malicious or technologically harmful material to our Application, misuse our Application, attempt to gain unauthorised access to our Application by any means, or attack (or attempt to attack) our Application with denial-of-service or distributed denial-of-service attacks. Any breach of this clause is a criminal offence under the Computer Misuse Act 1990 and Users permitted use of the Application will be withdrawn immediately. We will treat any breach of this clause extremely seriously. Offences or attempted offences will be reported to the relevant authorities and we will fully support their investigations by any means necessary, including by disclosing their identity.

We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect Users computer equipment or other proprietary material due to their use of the Application or due to their downloading of any content from it, or on any Application linked to it

Casting Space accepts no liability for any disruption or non-availability of the Application.

Casting Space reserves the right to alter, suspend or discontinue any part (or the whole of) the Application including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the Application unless it is expressly stated otherwise.

Limitation of liability

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

Subject to paragraph 1 above, we exclude all conditions, warranties, representations or other terms which may apply to the Application or any content on it, whether express or implied. You acknowledge that you are solely responsible for the use to which you put the Application and all the information that you obtain from it.

We will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of, or inability to use, the Application;

use of or reliance on any content displayed on the Application;

any errors or omissions on the Application;

any loss or damage caused by a virus, distributed denial-of-service attack; or

loss or damage from any third party Application links.

Neither party will have any liability to the other party for any failure or delay caused by any unforeseeable circumstance beyond that party’s reasonable control in performing its obligations in these Terms of Use. Such events may include: an act of God, fire, earthquakes, tidal waves, flood, storm, war, riots, strikes (whether involving the workforce of Film Share Commute or any of its subcontractors), terrorism, malicious damage and/or legal changes and prohibitions. If such an event continues for a period of 30 days or more, either party may terminate these Terms of Use immediately and without any liability by providing the other party with written notice.

Please note that in particular, we will not be liable for: loss of profits, sales, contract, use, business, or revenue; business interruption; loss of anticipated savings; loss or corruption of data or information; loss of business opportunity, goodwill or reputation; pure economic loss; loss or corruption of any data, database or software; or any indirect or consequential loss or damage.

Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any services by us to you, which will be set out in the Casting Space User Terms of Use or any other applicable contract.

General

You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Application from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.

These terms and conditions together with the Privacy Policy contain the whole agreement between the parties relating to its subject matter and

supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

No third party will have any right to enforce or rely on any provision of these terms and conditions.

If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.

Casting Space company details

Casting Space is a company incorporated in England and Wales with registered www.Film Share Commute.com and www.Casting-space.com. The registered company number is [15176613].

Appendix

Payment and commission fees structure

Payment for accommodation is made in the following way:

a. The Customer/Guest shall search and subsequently book appropriate accommodation for the appropriate length through the listing service/accommodation service within the app.

b. A provisional booking can be made through the app without payment.

c. To confirm an accommodation booking payment is made before the booking. Usually at a convenient time agreed between Guest and Host.

d. Cancellation of accommodation bookings can be made up to 12 hours before the start of the booking which is in line with Film Industry cancellations for Supporting Artists.

e. Casting Space deduct a commission fee of 5% of the agreed fee made between the ”Guest“ and the “Host”. This commission fee is deducted from the payment made to the ”Host” on completion of the accommodation booking. This commission fee is to cover running costs of the Application incurred by Casting Space. Fees are payable in GBP.

F. Settlement payment to the ”Host” is made two days after a completed booking. Deductions made include the 5% commission fee plus a small financial admin fee.
